By placing an order with Apparel Patches you agree to the following terms. They apply to every digitizing, vector art, and patch production order we accept, regardless of the channel through which the order is submitted.
Order Acceptance
A quote is non-binding until we issue an order confirmation. Order confirmations include scope, file format, turnaround, and price. Once confirmed, both parties are bound to the agreed scope.
Customer Responsibilities
- Provide artwork you legally own or have rights to digitize. We reserve the right to refuse trademarked artwork without proof of ownership.
- Provide complete production details — fabric, machine, stitch area, backing — so we can tune the file correctly.
- Review delivered files within 5 business days. After 5 days the order is considered approved.
Revisions
Standard tier orders include up to 2 free revisions; Standard and Premium tiers include unlimited free revisions. Revisions must be requested in writing and must reference the original order number.
Turnaround
Standard turnaround is 4-6 hours for files under 12,000 stitches. Rush turnarounds (60-120 minutes) are quoted separately. Turnaround clocks start once we confirm the order — not at the moment artwork is uploaded.
Payment
Invoices are payable on delivery unless the customer holds a private-label account with NET-15 or NET-30 terms. Late invoices accrue interest at 1.5% per month after 30 days past due.
File Ownership
On full payment, the customer owns the digitized file and is free to use, modify, or resell it. We retain a non-exclusive right to keep an internal QA archive of the file for 90 days. Source files are not licensed for redistribution as standalone products.
Confidentiality
We do not reuse, repost, or republish customer artwork without written permission. NDAs are signed on request before any file is opened.
Limitation of Liability
Our total liability on any order is limited to the digitizing fee paid for that order. We are not liable for production losses, downstream printing or embroidery costs, or third-party claims arising from delivered files. Customers are responsible for test-stitching files before committing them to a production run.
Governing Law
These terms are governed by the laws of the State of Wyoming, United States. Any dispute will be resolved in the courts of Sheridan County, Wyoming.
